Rabbithole Corp. – Terms and Conditions

THESE TERMS AND CONDITIONS (THESE “TERMS”) ARE A LEGAL CONTRACT BETWEEN “YOU” AND Rabbithole Corp. (“THE COMPANY,” “WE,” “US”). We own and operate our website and mobile applications (collectively, the “Platform”), on which we provide an interactive social network for adults (the “Service”).

YOU ARE RESPONSIBLE FOR YOUR OWN COMPLIANCE WITH ALL LAWS THAT MAY APPLY TO YOU.

THESE TERMS FORM AN AGREEMENT THAT GOVERNS YOUR USE OF THE SERVICE. BY USING OR ACCESSING THE SERVICE, YOU AGREE TO BE BOUND BY (1) THESE TERMS AND (2) OUR PRIVACY POLICY, AVAILABLE AT https://www.rabbitholeapp.com/privacy-policy/ (“PRIVACY POLICY”).

PLEASE READ THESE TERMS CAREFULLY. IF YOU DO NOT AGREE, DO NOT USE THE PLATFORM OR SERVICE.

1. You Must Be an Adult (Eligibility)

YOU CANNOT USE THE PLATFORM IF YOU ARE NOT AT LEAST 18 YEARS OF AGE AND/OR THE AGE OF MAJORITY AND LEGAL CONSENT IN YOUR JURISDICTION. YOU ALSO MAY NOT USE THE PLATFORM IF YOU HAVE EVER BEEN CONVICTED OF A SEXUAL OFFENSE, ARE REQUIRED TO REGISTER AS A SEX OFFENDER, OR ARE CURRENTLY CHARGED WITH AN OFFENSE OF A SEXUAL NATURE.

Our Service is for adults only. You represent and warrant that you meet these eligibility requirements and will prevent any minor from accessing the Platform.

WE DO NOT TOLERATE ANY CONTENT DEPICTING ANYONE UNDER THE AGE OF 18.

2. Respect Each Other (User Conduct)

You agree to act responsibly and not to:

• Violate any applicable law or regulation.

• Infringe on the rights of any third party (including intellectual property and privacy rights).

• Interfere with or damage our Service using viruses, bots, or other harmful code.

• Transmit information about others without their consent.

• Distribute unsolicited commercial email (“Spam”).

• “Stalk,” harass, or impersonate any person.

• Use the Service for any illegal or commercial purpose.

• Modify, reverse engineer, or decompile any portion of our Platform.

• Post false or misleading information.

• Assist any third party in doing any of the foregoing.

3. Your Privacy & Content

Your privacy is important to us. Our data practices are detailed in our Privacy Policy, which is part of this agreement.

• Content You Post: By submitting content (your profile, photos, etc.), you grant Rabbithole Corp. a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, and display it in connection with operating the Service. You warrant that you own your content and that its posting does not violate any third-party rights.

• Prohibited Content & Moderation: You may not post content that is illegal, defamatory, pornographic, hateful, an infringement of copyright, or exploits minors. We reserve the right to remove any content and terminate accounts that violate these rules or our Community Guidelines. If you believe your content or account was actioned in error, you may have the right to appeal the decision by contacting our support team.

Your Data Protection Rights (GDPR & Other Regulations)

If you are in a jurisdiction with applicable data protection laws (such as the European Economic Area), you have the following rights:

• The right to access, update, or delete the information we have on you.

• The right of rectification.

• The right to object to our processing of your personal data.

• The right of restriction.

• The right to data portability.

• The right to withdraw consent at any time. To exercise these rights, please submit a verifiable request to us by emailing our support team at contact@rabbitholeapp.com. We will respond to your request consistent with applicable law.

4. Your Interactions with Others (Disclaimers)

You are solely responsible for your interactions with other users. Exercise caution, especially if you decide to meet in person. Do not provide your financial information to others.

WE DO NOT CONDUCT CRIMINAL BACKGROUND CHECKS ON OUR USERS. We do not verify user statements or backgrounds and make no warranties as to their conduct.

IN NO EVENT SHALL Rabbithole Corp. BE LIABLE FOR ANY DAMAGES WHATSOEVER ARISING OUT OF OR RELATING TO YOUR CONDUCT OR THE CONDUCT OF ANY OTHER USER.

You acknowledge some users may be on the Platform for entertainment only and may not be seeking to meet in person.

5. Subscriptions, Payments, and Leaving the Service

• Fees & Payments: To access all features, you may need to purchase a subscription. You are responsible for all fees and applicable taxes.

• Refunds: All purchases are non-refundable unless required by applicable law or if we have materially breached these Terms.

• Termination: You may delete your account at any time. We may terminate your account if you breach these Terms. No refund will be provided for termination unless required by law.

• Chargebacks: We encourage you to contact our support team at contact@rabbitholeapp.com to resolve any payment issues. We take chargeback fraud seriously and reserve the right to investigate and dispute fraudulent claims, which may include reporting the incident to relevant authorities and credit agencies.

6. Mobile Applications & Third-Party Terms

We grant you a non-exclusive, personal license to use our mobile app. You may not modify, resell, or copy it.

• App Stores: You acknowledge these Terms are with Rabbithole Corp., not Apple or Google. You must comply with the then-current terms of the App Store from which you downloaded the app.

7. Legal Stuff (Disputes, Liability, and Governing Law)

• Disclaimer of Warranties: OUR SERVICE IS PROVIDED “AS IS.” WE DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

• Our Intellectual Property: The Service and its original content, features, and functionality (including its code, branding, logos, and design) are and will remain the exclusive property of Rabbithole Corp. and its licensors. Our intellectual property is protected by copyright, trademark, and other laws of both the United States and foreign countries. You may not use our trademarks or trade dress in connection with any product or service without our prior written consent.

• Limitation of Liability: TO THE FULLEST EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY TO YOU WILL NOT EXCEED FIVE THOUSAND ($5,000) DOLLARS.

• Indemnity: You agree to indemnify, defend, and hold us harmless from any claims, losses, liabilities, damages, and expenses (including reasonable attorneys’ fees) arising from your use of the Service or your violation of these Terms.

• Governing Law: These Terms are governed by the Federal Arbitration Act and the laws of the State of New York.

8. Copyright Policy (DMCA)

We respect the intellectual property rights of others. If you are a copyright owner and believe that any content on our Service infringes upon your copyrights, you may submit a notification pursuant to the Digital Millennium Copyright Act (DMCA) by providing our Copyright Agent with the required information in writing. The designated agent to receive notifications of claimed infringement is: contact@rabbitholeapp.com. For a notice to be effective, it must include a detailed description of the alleged infringement.

We will investigate all claims of copyright infringement and take appropriate actions, including the removal of the infringing material and termination of accounts of repeat infringers.

9. Mandatory Arbitration and Class Action Waiver

THIS SECTION SIGNIFICANTLY AFFECTS YOUR LEGAL RIGHTS.

• Binding Arbitration: All disputes shall be resolved by binding arbitration (via AAA for U.S. residents; ICC for others) instead of in court.

• Jury Trial Waiver: YOU AND Rabbithole Corp. WAIVE ANY CONSTITUTIONAL AND STATUTORY RIGHTS TO GO TO COURT AND HAVE A TRIAL IN FRONT OF A JUDGE OR A JURY.

• Class Action Waiver: ALL CLAIMS MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION OR CONSOLIDATED PROCEEDING.

• Timing of Disputes: Any claim must be filed within one (1) year of when it arose.

10. Miscellaneous

• Modifications: We may change these Terms by giving you at least 30 days’ notice.

• Service Availability: The Service may be interrupted for scheduled maintenance, for emergency repairs, or due to failure of telecommunications links and/or equipment. We will not be liable for any modification, suspension, or discontinuation of the Service caused by factors beyond our reasonable control.

• Export Controls: You represent and warrant that you are not located in a country that is subject to a U.S. Government embargo (such as Cuba, Iran, North Korea, Russia, or Syria) or that has been designated as a “terrorist supporting” country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.

• Your California Privacy Rights (CCPA): If you are a California resident, you have specific rights regarding your personal information, including the right to know, delete, and correct your data, and the right to opt-out of the “sale” or “sharing” of your personal information. You may exercise these rights through a verifiable consumer request.
